IMPA Entry-Level Marine Purchasing Education Programme Contributor Licence Agreement
Thank you for your interest in contributing to the IMPA Entry-Level Marine Purchasing Education Programme (the "Course"). This is a Course developed and managed by the International Marine Purchasing Association ("IMPA", "we" or "us"), which gives the project guidance, development resources and financial support.
This Contributor Licence Agreement (the "Agreement") documents the rights that Contributors to the Course grant to IMPA. This Agreement is legally binding, therefore please read it carefully.
The purpose of this Agreement is to protect IMPA. We hereby licence back the necessary rights to use your own Contribution for any other purpose.
"You" means the individual or entity who submits a contribution to IMPA for the Course's development.
"Contribution" means any work of authorship that is submitted by You to IMPA in which you own or assert ownership of the copyright. If you do not own the copyright in the entire work of authorship, please get this Agreement accepted by all parties.
"Copyright" means all rights protecting works of authorship owned or controlled by You, including copyright, moral and neighbouring rights, as appropriate, for the full term of their existence, including any extensions by You.
"Material" means the work of authorship which is made available by IMPA to third parties. After You submit the Contribution, it may be included in the Material.
"Submit" means any form of electronic, verbal or written communication sent to IMPA for the purpose of discussing and improving the Material, but excluding any communication that is designated in writing by You as "not a Contribution".
"Submission Date" means the date on which you submit a Contribution to us.
"Effective Date" means the date You execute this Agreement or the date You first submit a Contribution to IMPA, whichever is earlier.
2.1. Copyright licence to IMPA
Subject to the terms and conditions of this Agreement, You hereby grant to IMPA a worldwide, royaltyfree, perpetual and irrevocable licence, with the right to grant or transfer an unlimited number of nonexclusive licences or sublicences to third parties, under the Copyright covering the Contribution to use the Contribution in the context of the Course, by means including, but not limited:
- to publish the Contribution;
- to modify and/or prepare derivative work based upon or containing the Contribution;
- to reproduce the Contribution in original or modified form;
- to distribute and/or offer for sale the Contribution as part of the Material for the Course.
2.2. Moral rights
Moral rights remain unaffected to the extend they are recognised and not waivable by applicable law. In any event, You may request to have your name in the Credits for any and all Course's modules to which you have submitted a Contribution that has been accepted and utilised by IMPA.
2.3. Copyright Licence back to You
Upon such grant of rights to IMPA, we immediately grant to You a worldwide, royalty-free, non-exclusive, perpetual and irrevocable licence, with the right to grant or transfer an unlimited number of non-exclusive licences or sublicences to third parties, under the Copyright covering the Contribution to use the Contribution by all means, including, but not limited to those listed in subsection 2.1.
You agree and confirm that the transfer of rights and licences specified in section 2 of the Agreement shall be royalty-free and that no fees or other compensation shall be paid to You in exchange for the transfer of rights and licences.
4. Terms and Miscellaneous
4.1. This agreement shall come into effect upon Your acceptance of the terms and conditions.
4.2. This Agreement and all disputes, claims, actions and other proceedings arising out of this agreement or relating to it shall be governed by the laws of England and Wales.
4.3. This Agreement sets out the entire agreement between You and IMPA for Your Contribution to IMPA for the purpose of the IMPA Entry-Level Marine Purchasing Education Programme, and overrides all other agreements or understandings.
4.4. If any provision of this Agreement is found void and unenforceable, such provision will be replaced to the extent possible with a provision that comes closest to the meaning of the original provision and which is enforceable. The terms and conditions set forth in this Agreement shall apply notwithstanding any failure of essential purpose of this Agreement or any limited remedy to the maximum extend possible under law.
